Company registration: what it resolves, and what it leaves unanswered

Company registration and a person's immigration permission are different decisions. A Companies Act registration certificate establishes the incorporation described by that Act; the business-visa framework separately addresses the foreign person's business activity and prescribed requirements. [B04A03, B04A08] Do not treat “company registered” as a personal right to live or work in South Africa.

Before you start

This is an educational guide to the questions behind registration support. It does not offer Karoo incorporation, company-secretarial or tax services.

First identify which legal entity you are discussing

Are you researching a new South African entity, acquiring an interest in an existing entity, or bringing the activities of a company incorporated elsewhere into South Africa? Keep those arrangements distinct before selecting forms or a provider.

Prepare a factual structure note: where the entity is incorporated, which entity will contract, what activities will occur in South Africa, who will work there and who ultimately owns or controls the arrangement. Do not use a trading name or a website address as the entire description.

The answer may require corporate and tax expertise as well as an immigration review. No single registration receipt should be asked to prove all three positions.

Incorporation and external registration are different questions

An external company concerns a foreign company carrying on the relevant activities in South Africa, rather than incorporation of a new South African company. Section 23 contains the registration framework, including a 20-business-day provision after first beginning the relevant activities. [B04A08, B04A09] Determining whether and when that provision applies needs the actual facts and current law; this page does not calculate the deadline for your company.

Under the 2011 amendment, section 23(2) addresses employment contracts in South Africa or the specified continuing course/pattern of activities, subject to subsection (2A). [B04A09] It is not a rule that every foreign business may operate freely for six months before anyone needs to examine registration.

Read the exclusions in the correct direction

Section 23(2A) says the listed activities alone do not make a foreign company fall within the subsection (2)(b) conducting-business test. Examples include internal meetings, maintaining bank/financial accounts and the specified property, debt and securities activities. [B04A09]

Do not reverse that into “opening a bank account always triggers external registration”. Equally, an exclusion for one activity alone is not proof that a company's full operation is exempt: employment contracts and other conduct still need to be examined under the actual provisions.

If a presentation or summary conflicts with the amended statutory wording, return to the Act and obtain appropriate interpretation. This guide does not turn a training slide's list into a legal determination for your business.

Ownership information continues after registration

CIPC's beneficial-ownership guidance concerns the natural people who ultimately own or exercise effective control, not only the first company name in an ownership chain. [B04A10] Prepare the actual structure and supporting records rather than assuming a nominee or corporate shareholder completes the explanation.

Its July 2026 Notice 36 states that companies incorporated on or after 24 May 2023 must file BO information within 10 business days of incorporation, and describes annual updating within 30 business days after the anniversary as part of annual compliance. [B04A11] Confirm the exact entity type, filing classification, applicable registers and any change-triggered obligations; do not copy a domestic incorporation timetable onto an external-company arrangement without checking.

Keep ownership facts and changes accurate, and agree who will maintain the records. Filing something once is not the same task as keeping the relevant position current. This guide does not certify a beneficial owner, supply a nominee structure or replace professional review of a complex chain.

Keep four workstreams visible

Comparison of Workstream, Question to resolve, What not to assume
WorkstreamQuestion to resolveWhat not to assume
Corporate structure/registrationWhich entity and registration framework fit the actual activities?A fast filing service has answered every corporate issue
Ownership/governance recordsWhich people, registers and updates must be reflected?A trading name or first shareholder reveals ultimate control
Tax and operational requirementsWhich registrations/other obligations apply to the actual business?A company number completes every tax or licensing task
Personal immigrationWhat may each person actually do in South Africa?Incorporation or ownership grants work/residence permission

The table is a planning method, not a complete checklist or declaration that every requirement applies to every structure. For the personal business route, read business-visa requirements. For tax questions, use tax registration; for a foreign-national hire, use pre-hire preparation.

Agree the scope of assistance in writing

Ask a provider whether the proposed work covers structure advice, the filing, ownership records, ongoing returns or only a specific administrative step. Identify which professional is responsible for legal/tax questions and which information you must supply.

Do not provide passports, ownership documents or banking information to an unverified contact merely to ask what help is available. A preliminary scope question can describe the entity type and uncertainty. The actual evidence should go through the agreed appropriate channel after the responsible recipient and purpose are established.

Use choosing assistance to separate the task from the sales label, and cost questions to identify exclusions and continuing work. No corporate package price or turnaround promise is supplied here.

Fictional example: the bank-account fact is not the whole operation

A company incorporated abroad maintains a South African financial account and is considering a later local employment arrangement. Its coordinator records those as separate facts and asks for the whole proposed operation to be examined. They do not assume that the account alone either proves a registration duty or exempts all later activities. This fictional example illustrates the statutory distinction; it does not determine whether that company must register.

Questions people ask

Does an external registration create a new South African company?

It concerns registration of the foreign company under the relevant framework, rather than the same question as incorporating a new South African company. [B04A08, B04A09] Have the chosen structure explained before filing.

Does a bank account always trigger external registration?

Not solely on that fact under the specified section 23(2A) test. [B04A09] The full activities and other limbs still need examination.

Does owning a company settle my visa?

No personal permission is determined by this guide. Corporate registration and the individual's business/work immigration requirements are separate. [B04A03, B04A08]

Can this page manage our ownership filings?

No. It identifies questions to resolve with the responsible corporate professional and CIPC. It does not accept records, file returns or certify a structure.

Prepare a clear structure question

Write the incorporation country, proposed South African activities, employment arrangement and ownership uncertainty. Use conversation preparation to ask which task needs corporate, tax or immigration review before purchasing a filing service.
